eazyBackup – Terms of Service

These Terms of Service (“Términos”) form a legal agreement between you and eazyBackup Systems Ltd. (“eazyBackup”, “we”, “us”, or “our”) and govern your access to and use of:

  • The eazyBackup cloud backup software and related agents (“Cloud Backup Software”)
  • The eazyBackup e3 S3-compatible object storage service (“e3 Storage”)
  • Our cloud-to-cloud backup orchestration services (“Cloud-to-Cloud Backup”)
  • Any related websites, dashboards, APIs, documentation, and support (collectively, the “Servicios”).

By creating an account, installing or using the Cloud Backup Software, accessing the dashboard, or clicking “I agree” (or similar) you:

  1. Accept these Terms on your own behalf; and
  2. If you are acting for a business, represent that you have authority to bind that business and that “Customer” refers to that entity.

If you do not agree to these Terms, you must not use the Services.

  1. Definitions
  • Cuenta – the primary billing and administration profile registered with eazyBackup.
  • Authorized User – any individual who accesses the Services under your Account (including owners, employees, contractors, and invited sub-users).
  • Customer Data – files, objects, credentials, configuration, text, and other content that you or your Authorized Users submit to or through the Services.
  • Plataforma – the eazyBackup online interfaces, APIs, websites, and backend systems used to provide the Services.
  1. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date and may provide notice via email, in-product notification, or both.

If you continue to use the Services after the updated Terms take effect, you are agreeing to the updated Terms. If you do not agree, you must stop using the Services and close your Account.

  1. Services Overview

3.1 Cloud Backup Software

The Cloud Backup Software allows you to back up data from your devices to destinations you configure, which may include e3 Storage and other supported storage.

We strongly recommend you configure multiple backup destinations (e.g., both local and cloud) for redundancy. You are solely responsible for choosing backup sources, destinations, schedules, and retention policies.

3.2 e3 Storage

e3 Storage is a S3-compatible object storage service you may use with our software or third-party tools. You are responsible for:

  • Creating and managing buckets, keys, and access policies
  • Encrypting data at rest, if required by your policies
  • Ensuring your applications use e3 Storage correctly

3.3 Cloud-to-Cloud Backup

Cloud-to-Cloud Backup orchestrates transfers between third-party services (for example, Google, AWS, Dropbox, Wasabi) and e3 Storage. Those third-party services are not operated by eazyBackup and are governed by their own terms and policies.

We strongly recommend you use read-only or least-privilege credentials for source systems wherever possible. If you use read/write or administrative credentials, you acknowledge that this can allow data deletion or modification on the source, and you accept full responsibility for any resulting data loss or corruption.

  1. Accounts, Authorized Users & Consent

4.1 Account Owner
The person or entity that creates the Account is the “Customer” and is responsible for:

  • All fees and charges
  • All activity under the Account
  • Ensuring all Authorized Users comply with these Terms

4.2 Authorized Users
Each Authorized User must have their own login and must individually agree to these Terms before accessing the Platform. You must not share logins between multiple people.

4.3 Security of Credentials
You and your Authorized Users are responsible for:

  • Keeping usernames, passwords, API keys, and access tokens secure
  • Enabling two-factor authentication (2FA) where available
  • Promptly revoking access for users who should no longer have it

If you believe your Account or credentials have been compromised, you must notify us immediately.

  1. Your Data and Privacy

5.1 Ownership of Customer Data
You retain all rights to your Customer Data. We do not claim ownership of it.

5.2 License to Provide the Services
You grant eazyBackup a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, encrypt, and otherwise process Customer Data solely as necessary to:

  • Provide, maintain, secure, and improve the Services
  • Prevent or address service, security, or technical issues
  • Comply with law or valid legal processes

We do not sell your Customer Data and we do not use it for advertising.

5.3 Your Responsibility for Customer Data
You are solely responsible for Customer Data, including:

  • Its legality, reliability, integrity, accuracy, and appropriateness
  • Having all rights and consents required to use the Services with that data
  • Ensuring that your use of the Services with that data complies with all applicable laws and third-party terms

We may remove or restrict access to Customer Data that we reasonably believe violates law or these Terms.

5.4 Privacidad
Our collection and use of personal information is described in our Política de privacidad, which forms part of these Terms.

  1. Security, Backups & Shared Responsibility

6.1 No Absolute Guarantee of Data Recovery
While our Services are designed to facilitate backup and recovery, no system can guarantee that data will never be lost, corrupted, or unavailable. Network failures, hardware issues, third-party outages, misconfigurations, malware, and ransomware can all impact your data.

6.2 Your Responsibilities
You are responsible for:

  • Designing and implementing an appropriate backup strategy (for example, 3-2-1 style: multiple copies, media, and locations)
  • Regularly testing restores and verifying backups are complete and usable
  • Maintaining appropriate endpoint protections and security controls
  • Following our guidance to use 2FA and least-privilege credentials
  • Using read-only or least-privilege keys for Cloud-to-Cloud Backup source systems
  • Ensuring your own compliance with applicable regulations (e.g., privacy, retention)

6.3 Ransomware and Malicious Activity
We are not responsible for data loss or corruption caused by:

  • Ransomware or other malware on your systems or on third-party services
  • Compromised credentials, weak passwords, or failure to enable security features (including 2FA)
  • Your failure to maintain separate, independent backups or immutable copies

To the maximum extent permitted by law, you bear the risk of loss for data that is not recoverable because of these events.

  1. License to the Platform and Software

Subject to these Terms, we grant you and your Authorized Users a limited, non-exclusive, non-transferable, non-sublicensable license to:

  • Install and run the Cloud Backup Software on devices you own or control; and
  • Access and use the Platform and e3 Storage for your internal business or personal use,

only for lawful purposes, in accordance with documentation, and within any usage limits or plan features we describe.

You must not:

  • Resell, rent, or lease the Services to third parties (except as explicitly allowed under a separate reseller or partner agreement); or
  • Use the Services to provide a competing backup, storage, or SaaS offering unless we agree in writing.
  1. Intellectual Property and Use Restrictions

8.1 Our IP
The Services, including the Platform, Cloud Backup Software, e3 Storage infrastructure, user interfaces, designs, logos, trademarks, and all related technology are owned by eazyBackup or its licensors and are protected by copyright and other intellectual property laws.

Except as expressly permitted in these Terms, you obtain no rights in our IP.

8.2 Restrictions
You and your Authorized Users must not (and must not allow anyone else to):

  • Copy, modify, adapt, translate, or create derivative works from the Services or any part of them
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, algorithms, or underlying ideas of the Services (except to the extent such restrictions are prohibited by applicable law)
  • Access the Services for the purpose of building a competing product or service, or to benchmark or publish performance or security tests without our prior written consent
  • Circumvent, disable, or interfere with security-related features or usage restrictions
  • Scrape, crawl, or harvest data from the Platform or dashboards, whether manually or via automated tools (including bots, scripts, and browser extensions), except through documented APIs we make available and within their limits
  • Remove or alter any proprietary notices, trademarks, or branding in the Services

If you provide feedback or ideas about the Services, we may use them without restriction or obligation to you.

  1. Prohibited Uses

You must not use the Services:

  • In violation of any applicable law or regulation
  • To store or transmit material that is unlawful, defamatory, harassing, abusive, hateful, or otherwise objectionable
  • To store or transmit malicious code, including viruses, worms, or ransomware
  • To attempt unauthorized access to, or interfere with, any systems, networks, or data
  • In a way that burdens or disrupts our infrastructure or interferes with other users’ use of the Services

We may suspend or terminate access that we reasonably believe violates these restrictions.

  1. Google Workspace & Google Drive Integration

10.1 Use of Google APIs

Our cloud-to-cloud backup features allow you to connect your Google Account and Google Drive to eazyBackup. When you do so, eazyBackup uses Google APIs to access certain information from your Google Drive in order to provide these features.

We only request the minimum Google Drive permissions necessary to implement the backup features you choose to use, and we currently request read-only access to files and metadata in your Google Drive.

10.2 What Google Drive data we access

When you connect Google Drive, we may access:

  • File and folder metadata (for example, names, IDs, paths, timestamps, sizes, owners, and sharing information); and
  • File contents of items that you select or that are included in the backup jobs you configure.

We do not use Google APIs to delete or modify your content in Google Drive.

10.3 How we use Google Drive data

We use information received from Google APIs solely to:

  • Scan, list, and select Google Drive content for backup;
  • Read and transfer that content into backup copies stored in e3 Storage or other destinations you configure;
  • Display backup status, logs, and restore options in the dashboard; and
  • Maintain and improve these specific user-facing backup features (for example, performance, reliability, and security).

We do not use Google Drive data for advertising or marketing, and we do not sell or rent Google Drive data to any third party.

10.4 Limited Use and data sharing

Our use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

In particular:

  • We limit our use of Google Drive data to providing or improving the backup and restore features that are visible and prominent in the eazyBackup user interface.
  • We do not transfer Google Drive data to third parties except:
    • as necessary to provide the backup services you have configured (for example, storing copies in your chosen backup destination),
    • to comply with law, or
    • as part of a merger, acquisition, or sale of assets, and only in accordance with Google’s Limited Use requirements.
  • We do not allow humans to read Google Drive data except where:
    • you explicitly request support that requires access,
    • access is necessary for security, abuse investigation, or legal compliance, or
    • data is aggregated and anonymized for internal operations, all in accordance with the Google API Services User Data Policy.

10.5 Storage, security and retention

Any copies of your Google Drive content that we store as part of the backup process are treated as Customer Data under these Terms. We protect this data using industry-standard security measures, including encryption in transit and at rest, and access controls appropriate to the sensitivity of the data.

We retain backup copies of your Google Drive data only as long as necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce our agreements, or as otherwise described in your backup policies (for example, retention rules you configure).

10.6 Revoking access and deleting data

You can disconnect your Google Account from eazyBackup at any time:

  • within our dashboard (where available), and/or
  • through your Google Account’s “Security” or “Third-party access” settings.

If you revoke access, we will no longer be able to access your Google Drive via Google APIs, and we will delete or anonymize related tokens and credentials within a reasonable time.

Deleting your Account, or submitting a data deletion request where applicable, will result in deletion of associated backup data stored by eazyBackup after any applicable retention or legal hold period.

10.7 Relationship with Google

The Services are not sponsored or endorsed by Google. Your use of Google Drive is subject to your separate agreement(s) with Google, including Google’s Terms of Service and Google Drive terms and policies.

 

  1. Third-Party Services

The Services may integrate with or rely on third-party services (for example, cloud providers used as backup sources, DNS providers, or identity providers). We do not control third-party services and are not responsible for:

  • Their availability, security, or performance
  • Changes they make to APIs, features, or terms
  • Data loss or unavailability caused by those third-party services

Your use of third-party services is governed by their separate terms and policies.

  1. Fees, Billing, and Refunds

12.1 Facturación periódica
If you subscribe on a paid plan, you authorize us to charge your payment method on a recurring basis (monthly, yearly, or multi-year, as selected) for the applicable fees, plus any taxes.

For annual and multi-year plans, we may send renewal reminders, but you are responsible for monitoring renewal dates.

12.2 Free Trials
A free trial, if offered, is intended to let you evaluate the Services. At the end of the trial, your subscription may automatically convert to a paid plan unless you cancel before the trial ends.

12.3 Refunds

  • Monthly plans: No refunds. You may cancel at any time, and your plan will remain active until the end of the current billing period.
  • Annual and multi-year plans: You may request a full refund within 30 days of the initial subscription date. After that period, fees are non-refundable.

12.4 Disputas de cargos
If you have questions about a charge, contact support within 30 days of the date of the charge. After 30 days, charges are considered final.

  1. Cancellation, Suspension, and Data Deletion

13.1 Your Right to Cancel
You may cancel your subscription at any time by signing in to your Account and using the cancellation controls in the dashboard. Support cannot cancel your subscription on your behalf.

13.2 Our Right to Suspend or Terminate
We may suspend or terminate your access to the Services, in whole or in part, if:

  • You fail to pay fees when due
  • You or your Authorized Users violate these Terms
  • We reasonably believe your use of the Services presents a security risk, is fraudulent, or could harm us or others

We will make reasonable efforts to notify you in advance where practical.

13.3 Unpaid Accounts and Data Deletion
If we cannot successfully process payment when due:

  • We may suspend backups and other functionality; and
  • Continued non-payment may result in deletion of your Customer Data stored in our infrastructure after a reasonable grace period.

Once Customer Data is deleted, it may not be recoverable. We have no obligation to maintain data after your subscription ends or after the periods described in our data retention practices.

  1. Disclaimers

You use the Services at your own risk.

To the maximum extent permitted by law, the Services (including the website, Platform, Cloud Backup Software, e3 Storage, and Cloud-to-Cloud Backup) are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • Any data will be backed up at specific times or intervals
  • Any particular restore will be successful or complete
  • The Services will prevent or mitigate ransomware, malware, or other attacks

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

  1. Limitation of Liability

To the maximum extent permitted by law:

  • eazyBackup will not be liable for any:
    • Indirect, incidental, special, consequential, or punitive damages;
    • Loss of profits, revenue, business, goodwill, or anticipated savings; or
    • Loss of or damage to data (including costs of recovering or recreating data)
      arising out of or relating to the Services or these Terms, even if we have been advised of the possibility of such damages.
  • eazyBackup’s total aggregate liability for all claims arising out of or relating to the Services or these Terms will be limited to the fees actually paid by you to eazyBackup for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

These limitations apply to all theories of liability, whether based in contract, tort (including negligence), strict liability, or otherwise.

Nothing in these Terms is intended to limit or exclude liability that cannot be limited or excluded under applicable law (for example, certain liabilities for gross negligence or intentional misconduct).

  1. Indemnity

You agree to indemnify, defend, and hold harmless eazyBackup and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your or your Authorized Users’ use of the Services
  • Customer Data (including any allegation that Customer Data infringes or violates a third-party right or law)
  • Your breach of these Terms

We may, at our expense, assume exclusive control of the defense of any matter otherwise subject to indemnification, in which case you will cooperate with us in the defense.

  1. Changes to the Services

We may modify or discontinue features, components, or the Services as a whole, including introducing or changing usage limits, plan features, or pricing. If we make changes that materially reduce core functionality of a paid plan, we will make reasonable efforts to provide advance notice.

  1. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.

You agree that any disputes arising out of or relating to these Terms or the Services will be brought exclusively in the courts located in Saskatchewan, Canada, and you submit to their personal jurisdiction.

  1. Miscellaneous
  • Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and eazyBackup regarding the Services and supersede all prior agreements relating to the Services.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms or your rights in the Services without our prior written consent. We may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets.
  • Notices. We may provide notices via email, the dashboard, or by posting on our website. You are responsible for keeping your contact details up to date.
